Risk Disclosures and Important Information

Investors should consider their investment goals, time horizons and risk tolerance before investing in Eagle Point Enhanced Income Trust (the “Fund”). Investors should also consider the Fund’s investment objectives, risks, charges and expenses carefully before investing in securities of the Fund. An investment in the Fund is not appropriate for all investors. The investment program of the Fund is speculative, entails substantial risk and includes investment techniques not employed by traditional mutual funds. The securities in which the Fund seeks to invest involve multiple risks, including unhedged credit exposure to companies with speculative-grade ratings, the use of leverage and pricing volatility. In addition, an investment in the Fund is illiquid. An investment in the Fund is not intended to be a complete investment program.

Our shares will not be publicly traded and you should not expect to be able to sell your shares regardless of how we perform.
Our shares are not currently listed on any securities exchange, and we do not expect a secondary market in the shares to develop in the foreseeable future, if ever.
The Fund expects to repurchase 5% of its outstanding common shares at NAV quarterly, but there is no guarantee you will be able to sell all of your shares. If a repurchase offer is oversubscribed or if you tender an amount of shares greater than that which the Fund is entitled to repurchase, the Fund will repurchase the shares tendered on a pro rata basis, and you will have to wait until the next repurchase offer to make another repurchase request. An investment in the Fund should be considered illiquid.
An investment in our shares is not suitable for investors that require short-term liquidity.
We may, but are not obligated to, pursue a liquidity event for our shareholders. A liquidity event could include, among other things, (1) the sale of all or substantially all of our assets either on a complete portfolio basis or individually followed by a liquidation, (2) a listing of our shares on a national securities exchange or (3) a merger or another transaction approved by our Board of Trustees in which our shareholders will receive cash or shares of a publicly traded company, which may be another investment company managed by our Adviser or an affiliate of the Adviser.
Because you will be unable to sell your shares through a securities exchange, you will be unable to reduce your exposure on any market downturn.
A portion or all of any distribution paid by the Fund may consist of a return of capital.
The Fund may pay distributions in significant part from sources that may not be available in the future and that are unrelated to the Fund’s performance, such as from offering proceeds or borrowings, which may constitute a return of capital and reduce the amount of capital available to us for investment. Any capital returned to shareholders through distributions will be distributed after the accrual of fees and expenses.
The amount of distributions that the Fund may pay, if any, is uncertain.
An investor in Class AA Shares will pay a sales load of up to 6.75% and organizational and offering expenses of up to 1.50% on the amounts it invests. If you pay the maximum aggregate 8.25% for sales load and organizational and offering expenses, you must experience a total return on your net investment of 8.99% in order to recover these expenses.
